Who provides the service
GD Signal is a trading name of CLINIC GROWTH DEPARTEMENT LTD, a company registered in England and Wales, number 17201670. Our registered office is 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ. Contact: yasmineteamwork@gmail.com.
These terms cover creator-brand strategy and development, creative, identity, packaging direction, ecommerce, launch and agreed operational support. Our work is intended for business purposes. Any mandatory rights that apply to a particular client continue to apply.
Your project agreement
An enquiry, conversation or free Private Brand Preview does not create a paid engagement. A project is agreed when both parties accept a written service order or statement of work (SOW), including these terms and the cancellation policy. Paid work begins after the agreed payment clears and the required inputs are available.
The SOW identifies the client, deliverables, exclusions, timetable, revision rounds, fees, taxes, third-party budgets, responsibilities and IP treatment. Project-specific terms expressly agreed in the SOW take precedence over these general terms. A separate signed partnership agreement governs any partnership.
Initial payment and development work
Under the current offer, USD 1,000 is the initial upfront payment toward the agreed GD brand-build fee, before any applicable tax disclosed in the quote. It is included and credited once toward that fee, not added on top. The SOW confirms the total, balance, payment milestones and first commissioned development work. This is not a charge for the free preview or a promise of a complete launch.
- Category and audience-fit validation, with an initial competitor and market review.
- Recommended initial products and supplier or manufacturer research.
- A preliminary route for samples and product economics based on the information available.
- An execution roadmap, next-stage budgets and decisions for client approval.
- Manufacturing, inventory, packaging production, shoots, models, shipping, advertising and other external spend are excluded unless explicitly included in the SOW.
Fees, invoices and external costs
The SOW and company invoice confirm the total agreed fee, payment milestones, currency, any applicable taxes and due dates. Each stage is approved before work starts; additional scope is quoted separately before approval. Work on that stage starts only after the agreed funds have cleared. Payment instructions are issued in the legal company's name; never pay a personal account on our behalf.
Third-party expenses need written approval before commitment. Large supplier costs are normally paid directly by the client or funded in advance. We do not finance inventory, supplier spend or media budgets unless expressly agreed. Additional work and any markup or handling fee must be agreed in advance. There are no automatic subscriptions under these terms.
Approvals, revisions and changes
You appoint an authorised contact and provide accurate information, assets and feedback. Review rounds and approval deadlines are stated in the SOW. You approve the product direction, final artwork, claims, supplier commitments and launch decisions before execution.
If the scope changes, we explain the effect on cost and timing and obtain written approval before performing the additional work. Client or supplier delays can move the schedule; we notify you and agree an updated plan. Silence is not approval of a new expense.
Suppliers, manufacturing and product compliance
GD Signal coordinates research and development services. We are not the manufacturer, product certification body or importer by default. The SOW identifies who contracts with each supplier and who is responsible for testing, safety, labelling, registrations, importing, insurance and regulatory approvals in the intended market.
Supplier quotes, lead times, minimum order quantities and preliminary margins can change. They must be checked before committing funds. No major stock order should be approved before samples, costs and minimum quantities have been reviewed. We remain responsible for performing our own agreed services with reasonable skill and care.
Regulated products and claims may need qualified legal, scientific or compliance advice. Coordination does not replace that advice. Any quality assurance or regulatory service we undertake must be expressly scoped.
Ownership and intellectual property
Under the creator-owned service model, the creator owns their brand business and GD does not receive equity by providing services. The SOW defines the rights in each deliverable and the handover requirements.
Unless the SOW states otherwise, rights owned by GD in final bespoke deliverables created for the paid stage transfer to the client when all fees for that stage are paid, with any further assignment documentation completed where needed. Unselected concepts, drafts, our existing tools and methods remain ours. We provide the usage rights needed for any retained material embedded in the final deliverables.
Third-party fonts, software, music, stock assets and supplier IP remain subject to their licences and cannot be transferred beyond the rights we hold. You retain your own materials and confirm you have the rights to share them. Trademark availability, domain ownership and product rights require their own checks. AI-assisted materials may have limits on exclusivity or protectability; material restrictions are disclosed in the SOW before approval.
Confidentiality and publicity
Both parties keep non-public project, audience, supplier and commercial information confidential and use it only for the agreed work. Access is limited to people and suppliers who need it and are subject to appropriate confidentiality duties. This obligation continues after the engagement ends, subject to lawful disclosure requirements and information already public or independently obtained.
We need your written permission before publishing your name, project, images, testimonials or results in our portfolio. A free preview is a private discussion concept, not permission to disclose or implement confidential supplier research.
Personal data and customer operations
Our Privacy Policy explains our own enquiry and client records. If a project involves processing customer data on your behalf, we agree the necessary data processing terms and access rules before receiving that data. The agreement identifies instructions, security, subprocessors, international transfers, assistance and deletion or return duties.
Do not send passwords, payment-card details, identity documents or customer databases through the enquiry form. Customer-support or ecommerce operations are not automatically included in a brand-development stage.
Professional standards and commercial outcomes
We perform the agreed work with reasonable skill and care. Tell us promptly if a deliverable falls short of its written specification so we can investigate and, where appropriate, correct it.
We do not guarantee sales, revenue, profit, investment, payment-provider approval, platform reach or supplier performance. Preliminary economics and forecasts are planning estimates with stated assumptions, not guaranteed results.
Pausing or ending a project
You may request cancellation in writing. The Refund, Cancellation & Dispute Policy explains payment for completed work, unused funds and approved non-recoverable costs. Either party may end the engagement for a material breach that remains unresolved after 14 days' written notice, or where continued performance would be unlawful.
We may pause work for an overdue agreed payment, missing essential inputs or a material safety or compliance issue, explaining the reason and proposed next step. If we end a project without client breach, unused fees for services we will not deliver are returned, subject to approved external commitments. Payment, confidentiality and rights already accrued survive termination.
Liability
To the extent permitted by law and subject to any express agreement in the SOW, our aggregate contractual liability for a project is limited to the fees paid or payable under the affected SOW. Neither party is liable for indirect or consequential loss. Any restriction applies only so far as it is lawful and reasonable in the circumstances.
Nothing excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability or mandatory right that cannot lawfully be excluded. Supplier involvement does not remove responsibility for our own breach of the agreed services.
Partnership projects
A partnership is considered only after feasibility review and mutual agreement. These service terms grant no equity, revenue share or investment rights. A separate agreement must settle contributions, ownership, IP, decision rights, responsibilities, distributions and exit arrangements before a partnership begins.
Disputes, governing law and updates
Contact yasmineteamwork@gmail.com with the project and invoice reference so we can investigate a concern. Both parties should first try to resolve it in writing; this does not restrict statutory remedies or payment-provider rights.
These terms and the SOW are governed by the law of England and Wales, with disputes in its courts unless the SOW or mandatory law provides otherwise. A mandatory right to another jurisdiction is preserved. The SOW identifies the contractual language. We confirm the applicable version when the engagement is agreed; later website changes do not retrospectively change an accepted SOW without agreement.
